Novus Partners, Inc. (“Novus,” “we,” “us,” or “our”) is the sponsor and administrator of this Contest. Please read these Terms and Conditions in their entirety. By entering this Contest, you (“Entrant,” “Winner,” “you,” or “they”) hereby agree to the below Contest Terms and Conditions. Entrants who are entering as a legal entity (including, but not limited to: corporations, LLCs, and partnerships), or on behalf of a legal entity and not an individual person, hereby warrant that the person entering this Contest is duly authorized to do so and has the authority to bind the legal entity that they represent to these Terms and Conditions, Novus’s Terms of Use, and Novus’s Privacy Policy.

How to Enter:

Eligibility:
Any endowment, foundation, pension, or sovereign wealth fund who is not yet a Novus client. Must be accredited investor. Current Novus users (such as current clients and asset managers) do not qualify but are encouraged to nominate partners or peers. All entrants and winner(s) must be at least 18 years of age, unless otherwise stated or posted.
Prize:
Data onboarding, and one year of access to the Novus Platform, supporting the portfolio intelligence workflows of the winner. Up to 10 user licenses. Exact scope of prize (including percent of portfolio covered and access to the client analytics team) is at the sole discretion of Novus. Promotional aspects of award package include: winner press release (upon announcement), case study, video testimonial, podcast participation.
How Winners Will Be Determined:
Winners will be determined by closed door application scoring by a panel of judges, comprised primarily of non-Novus personnel. Decisions are at the judges’ sole discretion and are final.
Claiming Prize:
Winner(s) will be notified by telephone, mail, and/or email within three (3) business days after the Contest drawing and will be given three (3) business days to confirm receipt of notification. Novus is not responsible for any change of email address, mailing address, and/or telephone number of entrants. If a winner or their representative cannot be contacted from the information provided, Novus reserves the right to select another potential winner at Novus’s sole discretion. We are not liable if our email is not responded to within the time allowed or prize notification letter is lost in the mail or returned as undeliverable when delivery is attempted by regular mail. If, for any reason, more bona fide winners come forward seeking to claim the prize in excess of the number of prizes set forth in these Terms and Conditions, the winners, or remaining winners, as the case may be, of the advertised prize may be selected in a random drawing from among all persons making purportedly valid claims for the prize. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.
Release Form:
Winner will be required to complete and return an Affidavit of Eligibility/Liability Release (including, where permitted, a Publicity Release) (the "Affidavit") within seven (7) days of notification, and in any event before receiving the prize. Failure to return the executed Affidavit within that time may result in forfeiture of prize and random selection of alternate potential winner from remaining eligible entries. Winner will be subject to a verification process, which may include providing a completed W-9 (for tax purposes) including the winner's name or business’s name, date of birth, address, phone number, state of incorporation, and taxpayer identification number, social security number, and/or employer identification number.
Delivery Disclaimer:
We disclaim all liability for the inability of an entrant to complete an online entry due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond their control, or otherwise. We disclaim all liability for any delays, mis-delivery, loss, or failure in the delivery of any item sent by electronic transmission or other delivery method. We are not responsible for typographical errors, human, mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: any form of active or passive filtering, insufficient space in entrant’s e-mail account to receive e-mail messages, failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the internet, or on any website, or lost or unavailable network connections which may limit an online entrant’s ability to participate in this Contest, and any injury or damage to entrant’s or any other person's computer related to or resulting from participating in or downloading any information necessary to participate in this Contest. No mechanically reproduced entries or facsimiles will be accepted. Entries void if incomplete, defective, altered, forged, illegible, or received outside authorized channels. We reserve the right, at our sole discretion, to disqualify any individual (and all of his or her entries, or any portion thereof) who tampers with the entry process. Novus reserves the right, in its sole discretion, to cancel or suspend this Contest should fraud, virus, bugs, or other causes beyond our control corrupt the administration, security, or proper course of the Contest. In the event of cancellation, we will determine winners in an equitable manner as determined by us, in our sole discretion.
Incorporation of Terms of Use and Privacy Policy:
Novus’s Terms of Use (available at: https://www.novus.com/terms) and Privacy Policy (available at: https://www.novus.com/privacy-policy) are incorporated into the rules of this Contest.
Publicity; Use of Personal Information:
By entering, except where prohibited, where allowed by law, all winner(s) grant Novus and its agents and affiliates exclusive permission to use the winner’s name or business’s name, city and state of residence, biographical information, characters, photographs, voices, videotape, likenesses, and/or statements in connection with promotion of this and other contest in any and all media now known or hereinafter invented, worldwide, without territorial or time limitations and waive any claims to compensation, notice, royalty, right, or remuneration for such use. By participating in this Contest, where allowed by law, entrants agree that Novus may use such information obtained from entrants in this Contest for marketing purposes and may include the name of winner or the winner’s business in a publicly available winners list. Winners of this Contest may be asked to sign an affidavit allowing Novus to use their submission, name or business name, likeness, trademarked logo, copyrighted logo, biographical information, photographs, voices, videotapes or characters in future Novus promotional material.
Taxes:
Any valuation of the prize(s) stated above is based on Novus’s normal price for its services and the value of any prize awarded to a winner will be reported for tax purposes as required by law. Winner is solely responsible for reporting and paying any and all applicable taxes, fees, VATs, and other similar financial burdens related to the prize and paying any expenses associated with any prize(s) which are not specifically provided for in these Terms and Conditions. Winner must provide Novus with a completed IRS Form W-9 with valid identification and a valid taxpayer identification number, social security number, and/or employer identification number before any prize will be awarded. Any person winning over six hundred dollars ($600.00 USD) in prizes which is paid directly to the person or legal entity from us will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.
Conduct and Decisions:
By participating in this Contest, Entrant agrees to be bound by our decisions. Entrants who violate any rule, gain unfair advantage in participating in this Contest, or obtain “winner” status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing, or threatening behavior is prohibited. Novus will interpret these rules and resolve any disputes, conflicting claims, or ambiguities concerning the rules or this Contest and Novus's decisions concerning such disputes shall be final. If the conduct or outcome of this Contest is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference, or any event beyond our control, we reserve the right to terminate this Contest, or make such other decisions regarding the outcome as we deem appropriate. All decisions will be made by us and are final. We may waive any of these rules in our sole discretion. Any attempt by an entrant or any other individual to deliberately alter, circumvent, disrupt, damage any website, or undermine the legitimate operation of this Contest may be in violation of criminal and/or civil laws. Should such an attempt be made, we reserve the right to seek civil and/or criminal prosecution and/or damages from any such person to the fullest extent permitted by law.
Release:
By entering this Contest, Entrant hereby agrees to release and hold harmless Novus and its respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any damage, loss, expense, injury of any kind, claim or cause of action (collectively, “Claims”), including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in this Contest or receipt or use or misuse of any prize. Entrant further agrees to release and hold harmless the Released Parties from any Claim brought or asserted by any third party against the Released Parties due to or arising out of use of your name or your business’s name, persona, likeness and photo, trademarked logo, copyrighted logo, or any other rights granted to Novus, including any claims for, but not limited to trademark, copyright, or other intellectual property rights, rights of publicity, right of privacy or defamation. Except where prohibited, participation in this Contest and acceptance of a prize constitutes each Winner’s consent to Novus’s and its agents’ use of winner’s name or business’s name, likeness, trademarked logo, copyrighted logo, photograph, voice, opinions, hometown and state or state of incorporation for promotional purposes in any media, worldwide, without further payment or consideration.
Limitation on Liability:
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in this Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or this Contest; (4) technical or human error which may occur in the administration of this Contest or the processing of any entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in this Contest or receipt or use or misuse of any prize.
Miscellaneous:
Winner must submit proof of eligibility and sign our Affidavit to claim the prize. We may substitute prizes, as well as extend, modify, or discontinue this Contest at any time without prior notice. We disclaim any responsibility to notify entrants of any aspect related to the conduct of this Contest. We are not responsible for any typographical error in the printing of these Terms and Conditions, administration of this Contest, or in the announcement of the Sweepstake’s prize and winners. All entries and information become property of Novus and will not be acknowledged or returned.

For a winner list, where required by law, send a stamped, self-addressed envelope no later than ninety (90) days after the end date of this Contest to:

Choice of Law; Jurisdiction:
Any and all legal disputes and lawsuits between an Entrant or entrants and Novus shall be governed by the laws of New York. By entering this Contest, Entrant agrees that all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, Entrant’s rights and obligations, or the rights and obligations of Novus in connection with this Contest, shall be governed by, and construed in accordance with, the laws of State of New York without giving effect to any choice of law or conflict of law rules and the United States of America applicable to contracts made and performed entirely in New York and where the relevant contacts are with such state. By entering, Entrant consents to the jurisdiction and venue of the federal, state, and local courts located in New York.
